CCRN: “the potential sale, conditioned upon the consummation of the Closing, of all or part of the locums business division of the Company to an affiliate of Parent (the “Locums Transaction”)” … interesting they went out of their way to spell this out

Aya FTC language after the deal broke focused on:

  • “traveling nurses and other temporary healthcare workers”
  • software/services hospitals use to “find, hire, and manage” contingent labor
  • concern over reduced competition, fewer options, and higher costs.

Aya and CCRN were two of the largest players in:

  • travel nursing
  • allied staffing
  • locums
  • MSP/VMS workforce management platforms

The FTC seemed especially focused on the broader contingent labor ecosystem rather than one niche vertical. Locums likely contributed to concentration concerns, but travel nursing/staffing was probably the core issue because that’s where both had major scale.
